ARTICLE I - NAME

The name of the organization shall be the "Irmo Band Boosters."

ARTICLE II - MISSION

The mission of the Irmo Band Boosters shall be to support the activities of and promote interest in all of the Irmo High School Band and auxiliary programs, here and after to be referred to as "The Bands of Irmo".

ARTICLE III - AFFILIATIONS

SECTION A - TERM: All affiliations are for a period of one year, commencing on June 1 and terminating on May 31 of the following year.

SECTION B - DUES: Annual dues for all affiliate classifications shall be determined by the Executive board.

SECTION C - CLASSIFICATIONS:

1. FAMILY MEMBERSHIP - Full voting privileges for the parents/guardians with membership "in-good-standing" of students in the Bands of Irmo. "Member-in-good-standing" is dependent on a student's financial discipline and his/her conduct in the Bands of Irmo.

2. PATRON - Non-voting membership affiliation at a higher level of funding support, for individuals, businesses, or other organizations that wish to support the activities of the Bands of Irmo.

3. ASSOCIATE - Non-voting affiliation at a reduced level of funding support for individuals that wish to provide a basic level of support for the Bands of Irmo.

ARTICLE IV - EXECUTIVE BOARD

SECTION A - MEMBERS: The Executive Board of the Irmo Band Boosters shall be composed of the elected Band Booster officers and the appointed chairpersons of each standing committee. The Irmo High School Band Director and the immediate Past President shall serve as ex-officio members of the Executive Board.

SECTION B - AUTHORITY: The Executive Board shall have full authority in all matters of the Irmo Band Boosters, including the disposition and disbursement of funds. At the beginning of the fiscal year and at any time thereafter, if deemed necessary, the Executive Board may determine a monetary expenditure threshold above which proposed disbursements must receive prior approval by the Executive Board. The Treasurer and one other elected officer designated by the President shall be authorized to sign checks and disburse funds.

SECTION C - REMOVAL: The Executive Board shall have the authority to remove any officer or committee chairperson by a majority affirmative vote of the Executive Board at two consecutive meetings.

ARTICLE V - OFFICERS AND DUTIES

SECTION A - OFFICERS: The officers of the Irmo Band Boosters are: President, 1st Vice President, 2nd Vice President, Secretary and Treasurer. Officers are elected annually for a term of one year. No individual may be elected to the same office for more than two consecutive terms. All officers must be a member-in-good-standing and a parent or guardian of a student enrolled in the Bands of Irmo.

SECTION B - PRESIDENT: The President shall preside at all meetings of the membership and the Executive Board, establish standing committees and appoint committee chairpersons, appoint a nominating committee prior to the annual meeting, and call for an audit of the organization's financial status prior to the close of the year's activities. The President shall also be, or appoint a booster member as, the Irmo Band Booster's representative to the Irmo High School, School Improvement Council and other school functions as required.

SECTION C - 1ST VICE PRESIDENT: The 1st Vice President shall assume the duties of and exercise the powers of the President in the absence of the President. The 1st Vice President shall assume the office of President should that office become vacant at any time after the election of officers. The 1st Vice President shall also serve as chairperson of any competition which may be hosted by the Bands of Irmo as well as other duties as directed by the President.

SECTION D - 2ND VICE PRESIDENT: The 2nd Vice President shall be the chairperson of the Ways and Means Committee, and as such, shall direct all fund raising activities of the Irmo Band Boosters.

SECTION E - SECRETARY: The Secretary shall keep accurate records and minutes of all meetings of the membership and the Executive Board, maintain all records and valuable papers of the Irmo Band Boosters, and conduct the correspondence of the organization as directed by the President.

SECTION F - TREASURER: The Treasurer shall keep accurate records of all financial matters regarding the Irmo Band Boosters and shall regularly report the financial standing of the Irmo Band Boosters to the membership and Executive Board.

ARTICLE VI - ELECTION OF OFFICERS

SECTION A - NOMINATING COMMITTEE: A Nominating Committee of at least three members, appointed by the President shall select nominees for each office and distribute names of the slate of nominees to the membership at the March general meeting. Additional nominations may be made by any member-in-good-standing from the floor at that meeting. All members of the Nominating Committee and all nominees must be members-in-good-standing of the Irmo Band Boosters.

No nominations may be made after the March general meeting; provided, should all candidates for an office withdraw or cease to be members-in-good-standing, the floor at the April meeting shall be open for nominations for that office. Provided further, these requirements may be waived by two-thirds (2/3) vote of the voting members present at the April meeting.

SECTION B - VACANCIES: The Executive Board shall fill the vacancy for the unexpired term of any elected office, except that the 1st Vice President shall fill any vacancy for the office of President.

SECTION C - TERM OF OFFICE: The term of office for each elected officer shall be a one year period commencing on June 1 and expiring on May 31 of the following year.

ARTICLE VII - MEETINGS

SECTION A - EXECUTIVE BOARD: The Executive Board shall meet monthly and the time and place for regular Board meetings shall be publicized in advance to all members of the Irmo Band Boosters. A majority of the members of the Executive Board shall constitute a quorum of the Board for the purpose of conducting business. Special meetings of the Board may be called by the President or the Band Director as required. Meetings of the Executive Board shall be open to all members. No business of the Irmo Band Boosters may be conducted by the Board in a closed executive session.

SECTION B - MEMBERSHIP: A minimum of three business meetings of the membership of the Irmo Band Boosters will be held during the year. All meetings of the Irmo Band Boosters will be open meetings and the date, time and place of the meetings will be publicized in advance.

SECTION C - ELECTIONS: The April meeting of the Irmo Band Boosters will be held for the primary purpose of election of officers for the following year.

ARTICLE VIII - COMMITTEES

All standing committees will be designated by the President at the beginning of his/her term. Other special committees may be established by the President as required. All standing and special committee chair-persons are appointed by the President. Each standing committee chair-person shall serve as a member of, and be given one vote on the Executive Board. Standing committee chair-persons may appoint a member-in-good-standing of the Band Boosters to attend an Executive Board Meeting on their behalf which would include full voting privileges.

ARTICLE IX - BUDGET

SECTION A - PREPARATION: The Finance/Budget Committee shall prepare a budget for approval of the Executive Board and Membership for the start of each year (June 1- May 31) with the goal of improving and enhancing the Bands of Irmo and the students therein enrolled. No revenues or expenses of the Irmo Band Booster Organization will inure to the benefit of any individual member of the Irmo Band Boosters.  The Assessment Policy will govern the use of all student assessments.

SECTION B - APPROVAL: The proposed budget will be presented by the Executive Board to all members-in-good-standing for approval at the April business meeting or as otherwise determined by the membership.

SECTION C: - ADMINISTRATION: The Executive Board shall have sole authority for the administration and execution of the budget upon approval of the budget by the membership.

ARTICLE X - PROPERTY

All equipment and supplies, including musical instruments, uniforms and regalia, purchased by the Irmo Band boosters for the exclusive use of the Bands of Irmo shall become the property of Irmo High School.

ARTICLE XI - AMENDMENTS

These Bylaws may be altered or amended only by a two-thirds affirmative vote of the members-in-good-standing of the Irmo Band Boosters at a regular business meeting. The intent to alter or amend these Bylaws, as well as proposed changes, must be announced and publicized at least ten days prior to the date of the meeting.
